3. Eligibility and application review
Rayem Pay is available only to businesses established in the United States that hold a U.S. bank account in the business's name and sell lawful goods or services.
To apply, you must give us accurate, complete, and current information about your business, its owners, its products, and its website. We review each application, including your website, your products, and your fulfillment practices, and we may request additional documents at any time.
We may approve or decline any application at our sole discretion. Approval by Rayem Pay does not guarantee that Stripe will verify or enable your Connected Account.
4. Your Connected Account and Stripe
Rayem Pay operates a Stripe Connect platform. Once you are approved, a Connected Account is created for your business on our platform. You are the seller of record for every payment: your business name appears on your Shoppers' card statements, and you remain responsible for the goods and services you sell.
Payment processing services for merchants on Rayem Pay are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a merchant on Rayem Pay, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Rayem Pay enabling payment processing services through Stripe, you agree to provide Rayem Pay accurate and complete information about you and your business, and you authorize Rayem Pay to share it and transaction information related to your use of the payment processing services provided by Stripe.
Stripe verifies your identity and your business through its secure onboarding form. You must keep that information up to date and respond promptly to any verification request from Stripe or from us.
Rayem Pay controls certain settings of your Connected Account, including fees, payout schedule, and reserves, as described in these Terms. You can view your payments, refunds, disputes, and payouts in the dashboard provided through Stripe.
5. Fees
For each successful transaction, Rayem Pay charges a fee of 7% of the transaction amount plus $0.30. The fee is deducted automatically from each payment before the funds reach your balance.
- No setup fee, no monthly subscription, and no long-term commitment.
- Stripe's processing fees are paid by Rayem Pay out of its fee. You are not charged Stripe fees separately.
- Dispute handling and the risk coverage described in Section 8 are included in the fee.
- Our fee is not returned when you refund a payment.
The rate shown on our website is our standard rate. A different rate may be agreed in writing at onboarding, depending on your industry and volume. We may change our fees with at least 30 days' notice by email. New fees apply only to transactions made after their effective date.
6. Payouts
Once your Connected Account is fully active, your available balance is paid out automatically to your U.S. bank account every 2 business days.
For new accounts, we may delay the first payout until your first orders have been shipped. Bank processing times, holidays, Stripe verification, reserves under Section 7, or a review under Section 12 may also delay a payout.
You must keep valid bank account details on file. You are responsible for any taxes that apply to your sales. Tax information forms, such as Form 1099-K, may be issued to you where required by law.
7. Reserves
To cover potential refunds, disputes, and negative balances, Rayem Pay may hold a rolling reserve on a portion of your payouts, based on the risk associated with your business. Factors include your industry, your delivery times, your sales history, and your dispute rate.
The percentage, duration, and release schedule of any reserve are communicated to you in writing at onboarding, and reserved funds are released according to that schedule. We may adjust a reserve with written notice if your risk profile changes significantly, for example after a sudden increase in disputes or refunds.
8. Disputes, chargebacks, and risk coverage
As the operator of the platform, Rayem Pay is responsible to Stripe for disputes and negative balances on your Connected Account. This section explains how we handle disputes, and when a loss is covered by Rayem Pay or charged to you.
How we handle a dispute
- When a Shopper or card issuer opens a dispute, we notify you and request supporting evidence, such as proof of shipment, tracking and delivery confirmation, order details, and communications with the Shopper.
- You must send the requested evidence within 3 business days of our request.
- Rayem Pay prepares the response and submits it to Stripe within the card network's deadline. Stripe's dispute fees are paid by Rayem Pay.
When Rayem Pay covers the loss
If you shipped the order and provided the requested evidence on time, and the dispute is still lost, Rayem Pay absorbs the loss. The disputed amount is not deducted from your payouts.
When the loss is charged to you
The disputed amount is deducted from your balance or your reserve, and you must reimburse Rayem Pay for any remaining amount, if the dispute results from any of the following:
- you did not deliver the order, or delivered it later than the timeframe you advertised;
- you did not provide the requested evidence within 3 business days;
- the product or service was materially different from its description;
- the sale involved a prohibited product or activity;
- fraud, or participation in fraud, by you, your employees, or your agents; or
- any other breach of these Terms.
Rayem Pay covers any negative balance on your Connected Account toward Stripe. In the cases listed above, we may recover that amount from you by deducting it from future payouts or your reserve, or by invoicing you.
9. Refunds
You initiate refunds according to your own return and refund policy, which must be clearly displayed on your website. Refunded amounts are deducted from your balance, and our fee on the original transaction is not returned.
If your balance is not sufficient to cover a refund, Rayem Pay may deduct the amount from future payouts or your reserve. Our Refund & Dispute Policy explains how Shoppers can request a refund and how we handle escalations.
10. Merchant obligations
You agree to:
- ship orders within the timeframes you advertise, and give Shoppers tracking information when it is available;
- clearly display your return and refund policy, your contact details, and your shipping times on your website;
- respond to Shopper requests promptly and in good faith;
- keep proof of shipment and delivery for at least 180 days, and provide it to us on request;
- describe your products accurately and avoid misleading advertising;
- keep your business, ownership, and bank information accurate and up to date;
- comply with all laws that apply to your business, including consumer protection, advertising, privacy, tax, and export laws; and
- never sell prohibited products or services, and never process payments for another business through your Connected Account.
11. Prohibited businesses and activities
You may not use Rayem Pay for any business or activity listed on Stripe's Restricted Businesses list, or for any business or activity that is illegal where you or your Shoppers are located.
You may not use Rayem Pay to process payments for goods or services you do not sell yourself, to split or disguise transactions, or to circumvent a decision made by Stripe or by another payment provider. Rayem Pay may decline, suspend, or close any account that it reasonably believes is engaged in a prohibited activity.
12. Suspension and termination
You may stop using Rayem Pay at any time by emailing us. Rayem Pay may end this agreement at any time by giving you notice.
We may immediately suspend payouts, limit payments, or close your Connected Account if we reasonably believe that your account presents an elevated risk of loss, that you have breached these Terms, or that you are engaged in fraud or a prohibited activity, or if Stripe or the law requires us to do so.
After your account is closed, we may hold your remaining funds for up to 120 days to cover refunds, disputes, and other amounts you owe. Any balance remaining after that period is paid out to your bank account. Sections 7, 8, 12, and 14 through 17 survive termination.
13. Intellectual property and use of the website
The Rayem Pay name, logo, website, and content are owned by Rayem NA LLC and protected by law. You may not copy, modify, or use them without our written permission, except to state truthfully that your store accepts payments through Rayem Pay.
Visitors may use this website only for lawful purposes. You may not attempt to disrupt the website, access it by automated means in a way that harms it, or submit false information through our forms. Information on this website, including the fee calculator, is provided for general information only and is not an offer. Your actual terms are those confirmed at onboarding.
You keep all rights to your brand, products, and content. You grant Rayem Pay a limited license to use your business name and logo to operate your Connected Account and, with your consent, to list you as a customer.
14. Disclaimers
Rayem Pay and this website are provided "as is" and "as available." To the fullest extent permitted by law, Rayem Pay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Payment processing is performed by Stripe. Rayem Pay does not guarantee that payment services will be uninterrupted or error-free, and is not responsible for outages, delays, or decisions made by Stripe, card networks, or banks.
15. Limitation of liability
To the fullest extent permitted by law, Rayem Pay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or your use of Rayem Pay.
Rayem Pay's total liability for all claims arising out of or related to these Terms will not exceed the total fees you paid to Rayem Pay during the 12 months before the event giving rise to the claim.
These limits do not apply to Rayem Pay's obligation to cover losses as described in Section 8, to payouts of your own funds, or to liability that cannot be limited by law, such as liability for fraud or willful misconduct.
16. Indemnification
You will defend, indemnify, and hold harmless Rayem NA LLC and its member, officers, and agents from any claims, losses, liabilities, fines, penalties, and expenses, including reasonable attorneys' fees, arising out of: (a) the products and services you sell; (b) your breach of these Terms or of the Stripe Services Agreement; (c) your violation of any law or third-party right; or (d) fraud or willful misconduct by you or your employees or agents.
17. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute arising out of or related to these Terms will be brought exclusively in the state or federal courts located in Wyoming, and you and Rayem Pay consent to the personal jurisdiction of those courts.
Before filing any claim, you agree to contact us and try in good faith to resolve the issue informally for at least 30 days.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. If a change is unfavorable to you, we will notify you by email at least 30 days before it takes effect. By continuing to use Rayem Pay after the effective date, you accept the updated Terms. If you do not agree, you may close your account before the effective date.
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with the Stripe Services Agreement and any written onboarding terms, form the entire agreement between you and Rayem Pay on their subject matter. You may not assign these Terms without our written consent.
These Terms are written in English. Any translation is provided for convenience only. If a translation differs from the English version, the English version prevails.
